Terms of service

1. General

The Mediani advertising and media transmission service (hereinafter also referred to as Service), owned by Mediani Group Osakeyhtiö (www.mediani.fi; hereinafter also referred to as Mediani, Mediani Group Oy, Mediani service, Service provider), operating on the Internet adheres to the following terms of agreement in supplying advertisements, advertising slots, as well as promotion and sales locations (hereinafter also referred to as Products and Media products). These terms bind all parties using the Service (hereinafter also referred to as Service user, User, Buyer, Media sales agent, Sales agent, Media product processor, Product processor, Media product sales agent) and by using this Service, the parties agree to the Terms of agreement of the Service.

The User agrees to these terms of use by using the Service, whether the Service requires registration or not. By using this Service, the User agrees to these terms of use and assures to abide by these terms of use as well as Finnish law and good practice. When this service is used, an agreement in accordance with these terms of use is created between the User and Mediani. The User assures that they are over 18 years old or have their guardian's consent to use the Service. This agreement that has been created between the User and the Service provider in compliance with these Terms of use is valid until further notice, and both parties may cancel this agreement at any time by notifying the other party of the cancellation. The cancellation ends the user's right to use Mediani. The User is responsible for all their responsibilities and duties within the Service until the cancellation takes effect.

2. User registration and service agreement

Users join the Service by registering with the Mediani online service, or any other similar means, and agreeing to the Terms of use of the Service. Users include companies (and individuals), who use the Service or are registered with the Service as Users. User registration is established once Mediani has confirmed registration. Providing false user information or registering by using false information is prohibited, and the User assures that the information they enter into the Service during registration is correct.

The Service agreement between Mediani and the user takes effect when the User agrees to these Terms of use of the Service when they receive user rights to the Service from the Service provider.

The Service provider has the right to check the user's credit information when the user uses Mediani services that are subject to a fee. Mediani has the right to prevent the User from using services that are subject to a fee for a justified reason determined by the Service provider, e.g., due to bad credit history. By using the service, the User agrees to receiving electronic direct marketing.

The Service provider has the right to deny the user the right to use Mediani services, if the User is in breach of these Terms of use, any other terms related to the Service or any instructions, laws or good practice.

3. Service development, usability and operation

The Service provider is continually developing the Service and has the right to make changes to the Service and its content as part of their normal operations. The Service provider has the right to terminate production of the Service at any time. Any terminations are communicated to users in advance e.g., on the Service website. Mediani is not responsible for the content or services provided by other Service providers in any way, even when they are accessible through the Mediani service via a link or otherwise. The User is aware that using the services of other Service providers may require a separate registration, even though Mediani may provide access to these services. Mediani is not responsible for damages caused to Users by the use of any erroneous or imperfect information or information that is open to interpretation.

Mediani will do everything in its power to enable a service that is of as high a quality and as high a level as possible and free from any disturbance. The Service provider is not, however, responsible for ensuring an uninterrupted, timely or faultless operation of the service. Nor is the Service provider responsible for any technical faults, defects and interruptions to the service or any interruptions, shortcomings or disruptions to the service caused by maintenance or installation work or similar. Nor is the Service provider responsible for any changes to or loss of information or content caused by faults, disruptions or interruptions, or any data transfer faults, disruptions, problems, outages or interruptions due to third party operations.

The Service provider has the right to interrupt the service due to e.g., renewal, development, installation or maintenance work or any other similar work. Mediani also has the right to interrupt the Service due to statutory recommendations or requirements or instructions issued by the authorities. Users will be notified of any interruptions in advance, whenever possible. If the use of services subject to a fee is interrupted due to reasons independent of the Users of the Service for at least two (2) days, Mediani shall extend the period of use of the service for the affected user by the corresponding amount of time. This requires, however, that the User issues a complaint on the disruption in the manner described later (in the Notifications and complaints section) in these Terms of use. However, if the interruption concerns a service interruption that has been communicated to the User in advance by the Service provider in writing, whether in the Service or otherwise (e.g., via e-mail), the Service provider is under no obligation to extend the period of use of the service based on the interruption. In no circumstances does the User have the right to any other compensation from the Service provider for any interruption, unless specifically agreed upon between the Service provider and the User in writing in a separate agreement.

4. Services against payment offered by the Service provider

Some of the services offered by the Service provider may be subject to a fee. Users are informed of any services offered against payment in the Service. Services subject to a fee may be charged based on a registration fee and/or a fee based on the use of the service and/or a time-based usage fee and/or other similar grounds. Mediani has the right to change the prices and pricing principles of the services, as well as make free-of-charge services subject to a fee and vice-versa. Valid prices and pricing principles are displayed in the Service.

If the usage fee of the electronic service is time-based, e.g., a monthly right of use, the user shall pay the entire amount for one calendar month, regardless of which day of the month the user started using the service that is subject to a fee.

Unless otherwise specified in connection with the service subject to a fee, the general term of payment is 14 days and the penalty interest is in compliance with the Finnish Interest Act.

The Service provider is not responsible for the validity or reliability of the information given in the Service or the validity and faultlessness of the products or services sold or transmitted through the Service or the validity and faultlessness of the related information. Similarly, Mediani is not responsible for the content of the columns, services or products intended for the content produced by the Users themselves. The Service provider has the right, but not the responsibility, to inspect, change or remove content from the Service regardless of who has drafted or produced said content. Similarly, Mediani has the right to change the titles of the products and services in the Service without separate consent from the user or any other party, as well as the right to refuse publication of images or remove images that the Service provider deems inappropriate, impertinent or in violation of good practice in terms of the Service. Mediani is not responsible for the content or other features of services and products that are connected to the Service, accessible via the Service or otherwise related to the Service.

5. Product and Service information and content within the Service

When a User enters a product or service into Mediani, they commit to describing it sufficiently accurately and truthfully. The Service provider is not responsible for the validity or reliability of the information given in the Service or the validity and faultlessness of the products or services sold or transmitted through the Service or the validity and faultlessness of the related information. Similarly, Mediani is not responsible for the content of the columns, services or products intended for the content produced by the Users themselves.

In the Service, trade and transmitting occurs between Users, and Mediani is in no way a party in the trade and transmitting operations within the Service, even when the Service provider has received a fee for promoting trade or transmitting operations. Mediani is not responsible for unauthorised trade or transmitting operations to third parties. The User is responsible on their own account for any disputes arising from the content they have entered into the Service. The User is responsible for ensuring that the services or products they have entered into the Service are not in breach of laws or good practice, and that the User has the right to operate the service they operate in the Service. By using the Service, the User agrees to acknowledge that any offers the User makes on products and services are always binding.

The Service provider has the right, but not the responsibility, to inspect, change or remove content from the Service, regardless of who has drafted or produced said content. Similarly, Mediani has the right to change the titles of the products and services in the Service without separate consent from the user or any other party, as well as the right to refuse publication of images or remove images that the Service provider deems inappropriate, impertinent or in violation of good practice in terms of the Service. Mediani is not responsible for the content or other features of services and products that are connected to the Service, accessible via the Service or otherwise related to the Service. The User gives Mediani and other companies in the same group the right to publish and distribute the material that the User has published in the Service. The Service provider has the right to prevent the publication of unauthorised material and remove such material from the Service. The User is responsible for any claims for compensation from the holders of the right to unauthorised or illegal material or other third parties, as well as any other claims based on such material. Mediani always has the right to prevent use of the Service if there is reason to believe that the Service is being used for the distribution or presentation of unauthorised or illegal material or any other actions that are illegal or contrary to good practice.

In the Service, the description of media products may be completed with information that describes the product, which may include mentions of contacts reached with the product, price, regional reach, delivery information, material instructions and other similar characteristics. Mediani is not responsible for the validity of these descriptions, but the party entering the product and the information into the Service is responsible for the validity of the information. The Media product processor is also responsible for the correct handling of any copyright issues related to the products they enter into the Service, and Mediani is not under any circumstances responsible for any copyright infringement related to any products or services entered into the Service by the other or a third party.

Similarly, incorrect product or service price information shall not bind Mediani Group Oy under any circumstances. Incorrect product or service price information will not bind the party entering the data either, if the mistake in the price is so obvious that the customer can be deemed to have noticed it. For example, if the difference between the price given and the actual price is substantial, or the incorrect price can be deemed to be exceptionally low compared to the general level of prices, the price shall not be binding. Mediani is not responsible for damages caused to the user by the use of any erroneous or imperfect information or information that is open to interpretation.

Similarly, incorrect contact information shall not bind Mediani Group Oy under any circumstances. Incorrect information on the number of contacts will not bind the party entering the data either, if the mistake in the number is so obvious that the customer can be deemed to have noticed it or the number is based on an estimate by the seller and it is not directly used as a basis for the price. For example, if the difference between the number of contacts given and the actual number of contacts is substantial and the price of the product is not directly determined by the number of actual contacts, the number shall not be binding In situations, where there is no exact, measured data on the number of contacts, the number of contacts is, at best, the most accurate estimate that the party adding the information is able to provide. Mediani is not responsible for damages caused to the User by the use of any erroneous or imperfect information or information that is open to interpretation. In regard to products/services advertised in the Mediani service, the Service provider is not responsible for any incorrect information that the party adding the information into the Service has entered. In these situations, the Users of the media product service in question must primarily try to resolve the issue in negotiations or by agreement. We must stress that product information is never completely factual and never represents reality completely accurately. This means that any differences to the product information are such in nature that they do not warrant legal action as long as no party is in breach of Finnish law. Mediani is not responsible for damages caused to the User by the use of any erroneous or imperfect information or information that is open to interpretation.

The User commits to providing Mediani with the right to publish the material they have entered into the Service either in full or in part. Nor does the Service provider commit to keeping all of the material entered into the service by the User. Thus, the Service provider is entitled to destroy any material left into the Service after a reasonable period of time has passed or after the period of time specified for the product or service has expired. The User is responsible for the right of sale for products or services being traded or transmitted through the service. Ultimately, disputes are solved in compliance with Finnish law.

6. Immaterial property rights

The Service contains content protected by copyright, trademarks and other immaterial property rights. Mediani and its service (www.mediani.fi) as such form a database and Service, which is protected with copyright in accordance with Finnish copyright legislation. The User, or anyone else, has no right to distribute, publish, copy or provide to the public or otherwise commercially utilise or use in a similar manner, the material available in the Service without the specific written permission of the author, holder of the right and the Service provider.

In situations where copying, publishing or providing the material to the public is permitted by law in special circumstances, the User must always cite the name of the author or other holder of the right as well as the Service provider as sources. The User may not use the Service to transmit, present or distribute material that is protected by copyright, trademark or any other immaterial property right, without permission from the author or holder of the right. In principle, the name of the Service provider must be mentioned in all connections.

Users of the Service have the right to place a link to their own website on the front page of the Mediani website. Linking to an individual page of the Service for commercial or financial purposes or for the purpose of creating a database without express written consent from the Service provider is prohibited. The User has no right to send or transmit any marketing or advertising material not related to the use of the Service in Mediani, unless specifically permitted to do so by the Service provider in writing. The user is responsible for the material they have entered into the Service not infringing on third part copyright, trademarks or other immaterial property rights. The User is also responsible for the fact that the material they enter into the service is not offensive, indiscreet, in breach of these terms of use or in breach of the law, as well as for the fact that the User has the right to publish the material in the Service. It is prohibited to enter any pirated products and material infringing on third party immaterial property rights to the Service. Users in breach of these terms are responsible for any disputes arising from the use of such material.

7. Delays and shortcomings in delivering, commissioning and the use of media products

Mediani is not responsible for any delays and cancellations related to the delivery of media products (including media product material). Please note that the delivery times and methods of products/services and other product information related to the use of media products are estimates that may have to be deviated from due to e.g., natural phenomena, post-office workers' strikes and similar force majeure. Media products may not be delivered in some cases due to force majeure. In all situations relating to the delivery, commissioning and use of media products, the Users of the media product service in question must primarily try to resolve the issue in negotiations or by agreement. Mediani is not responsible for any damages caused to Users by the use of any erroneous or imperfect information or information that is open to interpretation. Ultimately, disputes are solved in compliance with Finnish law.

8. Force majeure

Force majeure relieves Mediani of the responsibilities associated with the Service. Force majeure refers to unforeseen obstacles caused by fire, earthquakes, floods, explosions, strikes, regulations issued by authorities, power cuts, supply shortages, raw material shortages, third party cable or data communications outages or similar that the Service provider cannot have prepared for within reason.

9. Transfer of rights and responsibilities related to the Service

The User only has the right to transfer the user rights to the Service or the agreement related to the Service to a third party with written consent provided by Mediani. Otherwise, the User is responsible for any costs or damages incurred by an unauthorised transfer. The Service provider has the right to transfer the Service, part of it or the related responsibilities and duties as well as any agreements concerning the Service to a third party or another company in the same group.

10. Liability for damages related to the use of the Service

The User is responsible for reimbursing the Service provider for any damages caused by use in breach of these terms, any product- and service-specific terms or agreements, as well as the law. The Service provider is not liable to reimburse any damages caused by the use of the Service to the User. The User is liable for any claims and costs due to the use of the Service or similar reasons.

11. Notifications and complaints

Any notifications or complaints concerning media products must be addressed directly to the party entering the media product into the Service as soon as the issue is detected. If the issue is not remedied, the User of the Service may issue a written complaint with Mediani Group Oy. The Service provider has the right to cancel the usage rights of the party in breach of the Terms of use.

12. Changes to the terms of use

The User or any other party is not awarded any other rights with this agreement than the right to use the Service in compliance with these Terms of use. The Service provider has the right to change the terms of this agreement unilaterally by updating the terms of this Service in writing. The Service provider has the right, but not the responsibility, to also notify the User of changes to these terms in other ways, e.g., via e-mail. Changes to the terms take effect immediately once they have been published. Users agree and commit to the new terms by using the Service.

13. Cookies and recording the user's online actions

The Mediani Service uses cookies. This enables us to offer a high-quality user experience. By using the Service, the User agrees to receiving cookies. The Service provider has the right to monitor the online activities of the Users of the Service as far as the Service is concerned, and utilise the results of said monitoring. However, the results of monitoring individual Users are never monitored or published. Mediani may utilise the information entered into the Service by the User for the purposes of marketing cooperation with third parties.

14. User information and personal data

The User is responsible for storing their own username and password. The User is also responsible for preventing the unauthorised use of the username and password. The User is responsible for any actions undertaken under their own username and password, as well as any resulting costs. If the User's username or password is leaked to a third party or lost, the User is responsible for notifying Mediani. The responsibility of the User for the username and password in question ends when the User receives written acknowledgement of the notification from the Service provider. The Service provider may provide the User with a new username and password. Mediani has the right to charge a reasonable fee for the approval of the new identification or the transfer of the identification from the User. If the User has notified Mediani of their user identification being lost, Mediani may transfer the User's rights to a new username and password as well as transfer parts of Services subject to a fee that the User had not had time to use before their identification was lost. The value of unused services, originally subject to a fee, is not, however, returned to the User in cash. The Service provider has the right to change the User's username and password, if technical reasons within the Service or other similar reasons require it. Mediani is not liable for damages to the User or a third party, based on changing user identification.

In order to use the Service, the User must provide the Service provider with the necessary personal data and other information. The User is responsible for providing accurate information. The Service provider has the right to process the User's personal data in the manner specified in valid Finnish legislation and the file description of the Service (link). Mediani shall process the personal data of registered Users in compliance with the file description and legislation on data security.

15. Data security, devices, software and connections

By using the Service, the User commits to acknowledging and accepting the fact that the online environment and online services in general are not entirely secure. The service provider shall organise data security for the Service in a generally acceptable manner and strive to prevent any unauthorised access of their data systems. However, Mediani cannot guarantee complete data security, nor can it be responsible for data security in terms of any costs or damages incurred by breaches or abuses.

Mediani is not responsible for the acquisition, maintenance or related costs or damages of the devices, software or internet connections of the Users using the Service. The User's devices, software or internet connections must not cause disturbances to the Service or other Users of the Service.

16. Assisting authorities

If necessary, the Service provider shall assist the authorities, such as the police, in investigating any abuse by providing the authorities with information entered into the Service by individual Users, upon request.

17. Applicable law and legal venue for solving disputes

The agreement parties shall strive to solve any disputes arising from the agreement in negotiations. If these negotiations do not yield results, the dispute is resolved in Helsingin käräjäoikeus (the District Court of Helsinki). This Service, any agreements related to the Service as well as this Agreement, is governed by Finnish law.
